Hoover's Auctions & Real Estate, LLC Online Auction Terms & Conditions

By registering to bid in this online auction, you acknowledge and agree to the following Terms & Conditions. Bidding in this auction constitutes a binding legal agreement between the bidder and Hoover’s Auctions & Real Estate, LLC (“Auctioneer”).

1. Registration & Bidding Eligibility

All bidders must be at least 18 years of age and legally capable of entering into a binding contract.
A valid credit/debit card is required to register.
The Auctioneer reserves the right to approve or deny bidder registration at their discretion

2. Buyer’s Premium

A 5% Buyer’s Premium will be added to the final bid amount of all items purchased online excluding the real estate and is payable by the buyer as part of the total purchase price.
A 10% Buyer’s Premium will be applied to the final bid of the real estate.

3. Payment Terms

Payment must be made in full within 12 hours of the auction closing.
Accepted forms of payment include credit/debit card, wire transfer, cash, or certified check. Any payments made by wire transfer will be subjected to the $30 wire transfer fee.
Winning bidders will receive an invoice by email. Late or failed payments may result in forfeiture of the item and banning from future auctions.
If you fail to pick up your items, we will charge your credit card.
Any payments made by credit card will be subjected to a 3% card processing fee, to be paid by the buyer.

4. Sales Tax

All sales are subject to 6% Kentucky Sales Tax. Applicable sales tax will be charged unless a valid resale or exemption certificate is provided before the auction ends.

5. As-Is / Where-Is

All items are sold as-is, where-is with no warranties or guarantees expressed or implied, including merchantability and/or fitness for particular purpose.
Bidders are responsible for inspecting all items and conducting their own due diligence before placing bids.
All descriptions and information are believed correct, but are not guaranteed and as such the Auctioneers, Hoover's Auctions & Real Estate, LLC, and/or the Seller shall not be held liable for inaccuracies in the information.

6. Auction Closing & Bidding

The Auctioneer reserves the right to extend, pause, or cancel bidding due to technical issues or at its discretion.

7. Removal & Pickup

Winning bidders are responsible for removal of purchased items within the specified pickup window.
Items should be picked up Saturday, July 26th, 2025. Items not picked up on Saturday, July 26th, 2025, may be picked up by appointment only. For pickup appointment, contact Jonathan Hoover at (270)305-2807 upon completion of the auction.
Buyers are responsible for packing, loading, and transporting items.
Buyers are responsible for the cost of shipping their items if necessary.
Items not claimed within 7 business days will become property of the auction company or revert back to the estate.

8. Default & Non-Payment

If the winning bidder fails to complete payment or pickup, the Auctioneer may, at its sole discretion, resell the item, pursue legal action, or ban the bidder from future auctions.
Unless special arrangements are made with the auctioneer, for any items not paid for and/or not picked up by the winning bidder within SEVEN (7) days of the date payment was due, the property shall be considered abandoned and any interest the winning bidder may have in the property shall revert back to the seller or auctioneer, and there shall be no refunds to the winning bidder.
Failure to pay for or pick up your items will result in the loss of future bidding opportunities.

9. Disputes & Arbitration

Any disputes arising out of this auction shall be governed by the laws of the State of Kentucky.
All claims must be settled through binding arbitration in Christian County, Kentucky, with each party responsible for its own legal fees.

10. Technology Disclaimer

Hoover's Auctions & Real Estate, LLC is not responsible for technical failures or bidding platform errors. Bidders are encouraged to bid early and monitor their bids closely.
In the event of a system failure, the Auctioneer may extend or reschedule the auction at its discretion.
While very rare, the Auctioneers, Hoover's Auctions & Real Estate, LLC., Sellers, and the Internet and Software Providers do not guarantee or warrant the online bidding procedure and/or system to operate without interruption or malfunction and shall not be held responsible in the event of such.

11. Changes & Updates

These Terms & Conditions are subject to change without notice. It is the bidder’s responsibility to review them prior to each auction.

12. Penalties

Any bidding found to be fraudulent and/or negligence to provide proper payment in the allotted time will result in all appropriate legal action.
Any invoice not fully and properly paid for in the allotted time will be charged to the credit card account presented at registration and the items forfeited.
Delinquencies will be noted and will prevent the individual from participating in any further live or online auctions conducted by Hoover's Auctions & Real Estate, LLC.
Hoover's Auctions & Real Estate, LLC retains the right to prevent anyone from participating in this and future online auctions who does not abide by the terms and conditions of the auction or whose actions are not in the best interest of our client, the Seller.

13. Auctioneer's Representation and Right to Bid

In accordance with KRS330.220(6)(a), it is hereby disclosed that, with permission from the seller, the auctioneer and any auction staff members have the right to bid. Hoover's Auctions & Real Estate, LLC and the auctioneer are agents of the seller.

14. Registration

Bidders must register with a full name, email address, home/business address, telephone number, and valid credit card information. Credit card information is obtained to establish bidder legitimacy, deter defunct bidding and charge the account at your request or in the event you do not pick up your items. Registration may only be completed with an acknowledgment that the bidder has read and understood all terms and conditions for the sale and online bidding.

15. Real Estate Terms

Real Estate being offered is being sold “AS IS, WHERE IS” basis, and no warranty or representation, either express or implied, concerning the property is made by the seller or Hoover’s Auctions & Real Estate, LLC
No Contingencies: This Real Estate contract is not contingent on or subject to Buyer’s financing, appraisal, survey or inspections of any kind or any other contingencies as agreed to by bidders at registration prior to bidding.
YOUR BIDDING IS NOT CONDITIONAL UPON FINANCING, SO BE SURE YOU HAVE ARRANGED FINANCING, IF NEEDED, AND ARE CAPABLE OF PAYING CASH AT CLOSING.
Zoning & Easements: Property is being sold subject with any and all easements of record. Property is subject to all state and local zoning ordinances.
Buyer's Premium: There will be a 10% Buyer's Premium added to the final bid and will be included in the total sales price.
Taxes: 2025 taxes will be prorated between Buyer(s) and Seller(s) at closing.
Down Payment: A 10% down payment on the day of the auction will be required. The down payment may be in the form of a cashier's check, personal check, or corporate check. The down payment is nonrefundable. Your purchase is not subject to financing. Down payment will be held in the Hoover’s Auctions & Real Estate, LLC escrow account at US Bank in Hopkinsville, KY.
No Contingencies: This Real Estate contract is not contingent on or subject to Buyer’s financing, appraisal, survey or inspections of any kind or any other contingencies as agreed to by bidders at registration prior to bidding.
Date of Closing: The closing will take place on or before 30 days from auction date.
Possession: Possession will take place at closing.

Lead Based Paint Disclosure: Buyer will be required to sign a Lead Based Paint Waiver waiving the 10-day post sale inspection.
Property Inspection: Each potential bidder is responsible for conducting, at their own risk, their own independent inspections, investigations, inquiries, and due diligence concerning the property. Further, Seller disclaims any and all responsibility for Buyer's safety during any physical inspection of the property. No party shall be deemed an invitee of the property by virtue of the offering of the property for sale.
All announcements made the day of the auction take presence over any previously mention or advertised materials.

16. Disclaimer & Absence of Warranties:

All information contained in this brochure and all related materials is subject to the Terms and Conditions outlined in the Purchase Agreement. The property is being sold “AS IS, WHERE IS” basis, and no warranty or representation, either express or implied, concerning the property is made by the Seller or Auction Company. Each potential bidder is responsible for conducting his or her own independent inspections, investigations, inquiries, and due diligence concerning the property. The information presented in the brochure, website and all other mediums is believed to be accurate but is subject to verification by all parties relying on it. No liability for its accuracy, errors, or omissions is assumed by the Seller or the Auction Company. All sketches & dimensions in this brochure are approximate. Except for any express warranties set forth in the sale documents, purchaser(s) assume all risks thereof & acknowledges that in consideration of the other provisions contained in the sale documents, Seller & Auction Company make no warranty or representation, express or implied or arising by operation of law, including a warranty of merchantability or fitness for a particular purpose of the property, or any part thereof, and in no event shall Seller or the Auction Company be liable for any consequential damages.
